Bulkimart Terms & Conditions

Welcome to the Bulkimart Wholesale Solution App. These Terms & Conditions (“Terms”) govern your access to and use of the Bulkimart App, website, and related services.

By registering an account, accessing, or using Bulkimart, you acknowledge that you have read, understood, and agreed to these Terms and any policies referenced herein. If you do not agree with these Terms, please do not use the Bulkimart platform.

1. Acceptance of Terms

By creating an account or using the Bulkimart Wholesale Solution App, you agree to be bound by these Terms and Conditions and all applicable Bulkimart policies.

Bulkimart may update or modify these Terms from time to time. Updated Terms will become effective when published on the Bulkimart platform or otherwise communicated through applicable channels.

Your continued use of the platform after the updated Terms become effective constitutes acceptance of the revised Terms, subject to applicable law.

2. Account Registration

2.1 Eligibility

To register and use a Bulkimart account, you must:

• Be at least 18 years of age; and
• Have the legal capacity to enter into a binding agreement under applicable law.

You must provide accurate, complete, and current information during registration and keep your account information updated.

If you are registering on behalf of a business or organization, you confirm that you are authorized to act on its behalf.

2.2 Account Security

You are responsible for maintaining the confidentiality and security of your account credentials.

You must:

• Keep your login credentials confidential;
• Not share your account with unauthorized persons;
• Promptly notify Bulkimart of any suspected unauthorized access or security breach; and
• Ensure that information associated with your account remains accurate.

You may be responsible for activities conducted through your account to the extent permitted by applicable law.

3. Use of the Bulkimart Platform

3.1 License

Subject to these Terms, Bulkimart grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Bulkimart platform for lawful personal or business purposes.

This license does not transfer ownership of the Bulkimart platform or any intellectual property to you.

3.2 Prohibited Activities

You agree not to:

• Violate any applicable law or regulation;
• Use the platform for fraudulent, unlawful, or unauthorized purposes;
• Provide false, misleading, or fraudulent information;
• Upload or transmit malicious software, viruses, or harmful code;
• Interfere with the operation, security, or integrity of the platform;
• Attempt to gain unauthorized access to the platform, accounts, systems, or databases;
• Reverse engineer, decompile, or attempt to extract the source code of the platform, except where permitted by applicable law;
• Scrape, copy, reproduce, or commercially exploit platform content without authorization;
• Use the platform to infringe the rights of Bulkimart or any third party; or
• Circumvent any security, access, or usage restrictions implemented by Bulkimart.

Bulkimart may take appropriate action where misuse, fraud, security concerns, or violations of these Terms are identified.

4. Products, Listings & Information

Product descriptions, images, specifications, prices, availability, and other information displayed on the platform are provided for customer information and may be updated from time to time.

Bulkimart makes reasonable efforts to maintain accurate product information. However, minor differences may occur due to product packaging, display settings, manufacturer updates, or other circumstances.

Where applicable, product availability and final pricing will be confirmed at the time of order processing.

5. Orders & Transactions

5.1 Order Placement

Placing an order through Bulkimart constitutes a request to purchase the selected products.

All orders are subject to:

• Product availability;
• Applicable pricing;
• Successful payment or payment authorization;
• Delivery availability;
• Verification requirements, where applicable; and
• Acceptance by Bulkimart or the relevant seller.

Bulkimart may decline, restrict, or cancel an order in legitimate circumstances, including product unavailability, pricing or listing errors, suspected fraud, technical issues, or other operational reasons.

Where an order is cancelled after payment has been received, any applicable refund will be processed in accordance with the applicable Return & Refund Policy and applicable law.

5.2 Pricing

Product prices displayed on Bulkimart may change from time to time.

Applicable taxes, delivery charges, service charges, discounts, and other applicable charges will be communicated where relevant before completion of the transaction.

In the event of an obvious pricing or listing error, Bulkimart may take appropriate corrective action, including cancellation of the affected order, subject to applicable law.

5.3 Payment

Customers must use the payment methods made available by Bulkimart.

Available payment methods may include:

• Credit cards;
• Debit cards;
• UPI;
• Cash, where available;
• Vouchers; and
• Other payment methods made available by Bulkimart.

Payment availability may vary based on the order, location, transaction value, payment provider, and other applicable conditions.

6. Shipping & Delivery

Bulkimart will provide applicable delivery information or estimated delivery timelines where available.

Delivery timelines are estimates and may be affected by factors including:

• Product availability;
• Delivery location;
• Logistics operations;
• Weather or natural events;
• Government restrictions;
• Technical issues;
• Third-party logistics providers; or
• Other circumstances beyond Bulkimart's reasonable control.

Bulkimart will make reasonable efforts to facilitate timely delivery but does not guarantee a particular delivery date unless expressly confirmed.

Customers are responsible for providing accurate delivery and contact information.

7. Returns, Refunds & Cancellations

Returns, exchanges, refunds, and order cancellations are governed by the applicable Bulkimart Return & Refund Policy.

Customers should review the Return & Refund Policy before placing an order.

Nothing in these Terms is intended to limit or exclude any consumer rights or remedies available under applicable law.

8. Intellectual Property

8.1 Ownership

All intellectual property and content associated with the Bulkimart platform, including but not limited to:

• Bulkimart name and logo;
• Trademarks;
• Text;
• Graphics;
• Images;
• Software;
• Website and app design;
• User interface;
• Product content provided by Bulkimart; and
• Other platform materials

are owned by Bulkimart, its affiliates, licensors, or applicable third parties and are protected by applicable intellectual property laws.

8.2 Restrictions

Except as expressly permitted by Bulkimart or applicable law, you may not:

• Copy;
• Reproduce;
• Modify;
• Distribute;
• Publish;
• Sell;
• License;
• Create derivative works from; or
• Commercially exploit

Bulkimart's protected content or intellectual property without prior written authorization.

9. Third-Party Services

Bulkimart may use third-party service providers for services such as:

• Payment processing;
• Shipping and logistics;
• Technology infrastructure;
• Customer communications;
• Product warranties; and
• Other operational services.

Third-party services may be subject to their own terms and policies.

Where a product is covered by a manufacturer's warranty, the applicable warranty and after-sales service will generally be governed by the manufacturer's terms.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Bulkimart will not be liable for indirect, incidental, special, or consequential losses arising from the use of the platform.

Bulkimart's liability, where legally permissible, will be limited to the nature and circumstances of the specific transaction giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law, including any mandatory consumer rights or remedies.

11. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Bulkimart, its affiliates, officers, directors, employees, representatives, and agents from claims, losses, liabilities, damages, and reasonable expenses arising from:

• Your violation of these Terms;
• Your unlawful or unauthorized use of the platform;
• Your fraudulent or misleading activities;
• Your violation of applicable law; or
• Your infringement of the rights of Bulkimart or any third party.

This provision will apply only to the extent permitted by applicable law.

12. Suspension & Termination

Bulkimart may suspend or restrict access to your account or the platform where reasonably necessary, including in circumstances involving:

• Violation of these Terms;
• Fraudulent or suspicious activity;
• Security risks;
• Unauthorized use;
• Abuse or misuse of the platform;
• Violation of applicable law; or
• Other legitimate operational or security concerns.

Where appropriate, Bulkimart may provide notice or an opportunity to resolve the issue, subject to the circumstances and applicable law.

Upon termination or suspension, your right to use the affected services may cease or be restricted.

Termination will not affect rights or obligations that accrued before termination or provisions that are intended to survive termination.

13. Privacy & Personal Information

Your use of Bulkimart may involve the collection and processing of personal information.

The handling of personal information is governed by the applicable Bulkimart Privacy Policy, which forms part of the overall terms applicable to your use of the platform.

14. Electronic Communications

By using Bulkimart and providing your contact information, you agree that Bulkimart may communicate with you electronically regarding:

• Orders;
• Payments;
• Deliveries;
• Account activity;
• Customer support;
• Service updates;
• Important policy changes; and
• Other information relating to your use of Bulkimart.

Where consent is legally required for specific communications, Bulkimart will obtain and process such consent in accordance with applicable law.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and interpreted in accordance with the laws of India, subject to applicable law.

Bulkimart will make reasonable efforts to resolve customer concerns through its customer support and grievance-redressal process before formal legal proceedings are initiated.

Any dispute shall be subject to the jurisdiction of competent courts at Noida, Uttar Pradesh, to the extent such jurisdiction is legally permissible.

Nothing in this section limits any statutory rights available to consumers under applicable law.

16. Changes to These Terms

Bulkimart reserves the right to modify, update, or replace these Terms from time to time.

Changes may be made to reflect:

• Changes in applicable laws;
• Changes to Bulkimart services;
• New features or functionality;
• Security requirements;

The updated Terms will become effective when published on the Bulkimart platform or otherwise communicated through applicable channels.

17. Entire Agreement

These Terms, together with the policies and terms expressly referenced herein, constitute the agreement governing your use of the Bulkimart platform, subject to any separate agreement that may apply to a particular service or business relationship.

18. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be interpreted or modified to the extent necessary to make it enforceable where legally permissible.

The remaining provisions will continue to remain in effect.

19. Waiver

If Bulkimart does not immediately enforce any provision of these Terms, that does not constitute a waiver of its right to enforce that provision or any other provision in the future.
